Please read these Terms of Service ("Terms") carefully before using the Scalesco TradeDesk platform ("Service") operated by PerOmnia LLC ("Company," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not access or use the Service.

1. Nature of the Service

Scalesco TradeDesk is a data monitoring and transparency platform that displays execution data from automated trading algorithms. The Service provides blockchain-verified data feeds including equity curves, execution logs, and aggregate performance metrics.

The Service is provided for informational and educational purposes only. We do not provide investment advice, financial advice, trading signals, portfolio management, or any form of personalized financial recommendation.

2. Not Investment Advisory

Scalesco TradeDesk and PerOmnia LLC are NOT registered as investment advisors, broker-dealers, or financial planners with the U.S. Securities and Exchange Commission (SEC), the Commodity Futures Trading Commission (CFTC), any state securities regulatory authority, or any equivalent regulatory body in any jurisdiction.

Nothing on this platform constitutes:

• A recommendation to buy, sell, or hold any cryptocurrency, token, or financial instrument
• An offer or solicitation to make any investment
• Investment advice or financial advice of any kind
• A trading signal, alert, or recommendation service
• A managed account or portfolio management service

3. Risk Disclosure

Cryptocurrency and digital asset trading carries a substantial risk of loss. You should carefully consider whether trading is appropriate for you in light of your financial condition. Key risks include but are not limited to:

• Market risk: Cryptocurrency prices are highly volatile and can decline rapidly. You may lose part or all of your investment.
• Algorithmic risk: Automated trading systems can malfunction, execute unintended trades, or experience periods of significant loss.
• Technology risk: Blockchain networks, smart contracts, and software systems may experience bugs, outages, exploits, or other failures.
• Regulatory risk: Laws and regulations regarding cryptocurrency may change, potentially impacting the legality or value of digital assets.
• Liquidity risk: You may not be able to exit a position at a desired price or time.

Past performance of any algorithm or trading system displayed on this platform does NOT indicate, predict, or guarantee future results. Historical returns, win rates, and other metrics reflect past activity only.

4. No Guarantee of Accuracy

While we strive to provide accurate and timely data, we make no warranty or guarantee regarding the accuracy, completeness, reliability, or timeliness of any information displayed on the platform. Data may be delayed, incomplete, or contain errors. You should not rely solely on information from this Service for any trading or investment decision.

5. Your Responsibility

You are solely responsible for:

• Your own trading and investment decisions
• Conducting your own research and due diligence
• Understanding the risks associated with cryptocurrency trading
• Securing your own wallet, private keys, and digital assets
• Compliance with all applicable laws and regulations in your jurisdiction
• Any tax obligations arising from your trading activities

6. Access and Subscriptions

Access to different tiers of data is facilitated through on-chain smart contract interactions on the Base L2 network. Payments are made in supported stablecoins (USDC, USDT, DAI). By initiating a blockchain transaction to access the Service, you acknowledge:

• Blockchain transactions are irreversible once confirmed
• You are responsible for ensuring you are interacting with the correct smart contract
• Gas fees are your responsibility
• Access periods are determined by the smart contract and are non-refundable

7. Intellectual Property

All content, data, design, and code on this platform are the property of PerOmnia LLC. You may not reproduce, redistribute, sell, or commercially exploit any data or content obtained through the Service without prior written consent.

8. Prohibited Uses

You agree not to:

• Use the Service to provide investment advisory services to others
• Redistribute, resell, or publicly republish data obtained from the Service
• Attempt to reverse-engineer, decompile, or extract trading algorithms or strategies from the data
• Use automated bots or scrapers to extract data from the platform
• Interfere with or disrupt the Service or its infrastructure
• Use the Service for any unlawful purpose

9. Indemnification

You agree to indemnify, defend, and hold harmless PerOmnia LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of or reliance on the Service
• Your trading or investment decisions
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Any claim that your use of the Service caused damage to a third party

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEROMNIA LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF DATA, OR TRADING LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO ACCESS THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Modifications

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

13. Termination

We may suspend or terminate your access to the Service at any time, for any reason, without prior notice. Upon termination, your right to access the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved exclusively in the courts of the State of Illinois.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
